Terms of Service

Last updated: March 11, 2026 — These terms govern your use of the Cacao EUDR platform operated by EI ChampagneDevOps. By creating an account, you agree to these terms.

1. Definitions & Scope

"Service" refers to the Cacao EUDR web application available at cacaoeudr.com, including its API, and all related documentation. "Provider" refers to EI ChampagneDevOps, 6 avenue des Troubadours, 31750 Escalquens, France (SIRET: 943 294 517 100 026). "Customer" refers to the legal entity that subscribes to the Service. "User" refers to any natural person authorised by the Customer to access the Service.

The Service is a SaaS tool designed to help EU cacao importers manage their due diligence obligations under Regulation (EU) 2023/1115 (EUDR). It does not constitute legal advice.

2. Account & Eligibility

You must be at least 18 years old and legally authorised to represent the Customer organisation. You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately at contact@champagnedevops.fr if you suspect unauthorised access to your account.

3. Pricing & Payment

The Service is offered under the following subscription plans:

  • Starter: 890 EUR/month — up to 10 suppliers, 3 users.
  • Growth: 1,690 EUR/month — up to 25 suppliers, 10 users.
  • Scale: custom pricing — unlimited suppliers and users, contact us.
  • Pilot: 2,000 EUR one-time — 30-day guided onboarding with up to 5 suppliers.

Subscriptions are billed monthly or annually in advance via Stripe. All prices are in euros and exclude applicable taxes. Failed payments may result in service suspension after a 7-day grace period. We reserve the right to adjust pricing with 30 days' written notice before the next billing cycle.

4. Cancellation & Refunds

You may cancel your subscription at any time via the billing settings in your account or by contacting us. Cancellation takes effect at the end of the current billing period — no pro-rata refunds are issued for partial periods. After cancellation, your data remains accessible in read-only mode for 30 days, after which it is permanently deleted unless longer retention is required by law (see our Privacy Policy).

5. Service Level & Availability

We target 99.5% monthly uptime for the Service, measured as the percentage of minutes the application is available and responsive in a calendar month. Scheduled maintenance windows (announced at least 48 hours in advance) are excluded from the calculation.

If uptime falls below 99.5% in a calendar month, the Customer may request a service credit equal to 5% of their monthly subscription fee for each full percentage point below the target, up to a maximum of 30% of the monthly fee. Credit requests must be submitted within 15 days of the end of the affected month.

6. Customer Obligations

The Customer agrees to:

  • Provide accurate, complete, and up-to-date information for all suppliers, parcels, and shipments entered into the Service.
  • Use the Service only for lawful purposes consistent with EUDR compliance.
  • Not attempt to reverse engineer, decompile, or circumvent any access controls or security measures of the Service.
  • Not share account credentials or allow unauthorised third parties to access the Service.
  • Ensure that any data uploaded complies with applicable data protection laws, including obtaining necessary consents from data subjects.

7. Intellectual Property

All intellectual property rights in the Service (source code, design, documentation, trademarks) remain the exclusive property of EI ChampagneDevOps. The Customer retains full ownership of all data they upload to the Service. We claim no rights over your supply chain data, GeoJSON files, or due diligence statements.

8. Limitation of Liability

The Service assists with EUDR due diligence management but does not guarantee regulatory compliance. The Customer remains solely responsible for the accuracy of submitted data and for meeting their legal obligations under Regulation (EU) 2023/1115.

To the maximum extent permitted by law, the Provider's total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by the Customer in the 12 months preceding the claim. The Provider shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data loss, or business interruption.

9. Termination

Either party may terminate this agreement with 30 days' written notice. The Provider may suspend or terminate access immediately in case of: material breach of these terms, non-payment beyond the grace period, or use of the Service for illegal purposes. Upon termination, the Customer may export their data within 30 days. After this period, data is permanently deleted.

10. Governing Law & Disputes

These terms are governed by French law. Any dispute arising from or in connection with these terms shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Toulouse, France. Before initiating legal proceedings, the parties agree to attempt good-faith negotiation for a period of 30 days.

11. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email at least 30 days before taking effect. If you disagree with the updated terms, you may cancel your subscription before the effective date. Continued use of the Service after the effective date constitutes acceptance.
